EdgeHill Partners is an affiliate of EHP Funds Inc. by virtue of common control.

Prospectus Funds (“Public Funds”) and Offering Memorandum Funds (“Private Funds”) (collectively the “Funds”)
EHP Funds is the investment manager of the Public Funds. EdgeHill Partners is the investment manager of the Private Funds.
The Funds offered by EHP Funds are alternative mutual funds distributed through authorized dealers. Private Funds are offered pursuant to available exemptions from the prospectus requirement under applicable securities laws. The Funds are available only in those jurisdictions where it may be lawfully offered for sale.
The Funds have the ability to invest in asset classes or use investment strategies that are not permitted for conventional mutual funds. The specific strategies that differentiate the Funds from conventional mutual funds include: increased use of derivatives for hedging and non‐hedging purposes; increased ability to sell securities short; and the ability to borrow cash to use for investment purposes. While these strategies will be used in accordance with the applicable Fund’s investment objectives and strategies, during certain market conditions they may accelerate the pace at which your investment decreases in value. Commissions, trailing commissions, management fees, performance fees and expenses all may be associated with mutual fund investments. The indicated rates of return are the historical annual compounded total returns including changes in unit value and reinvestment of all distributions and do not take into account sales, redemption, distribution or optional charges or income taxes payable by any unitholder that would have reduced returns. Mutual funds are not guaranteed, their values change frequently and past performance may not be repeated. Please read the offering materials (including the Simplified Prospectus, Annual Information Form, Fund Facts or Offering Memorandum, where applicable) for a particular Fund before investing. Returns shown are annualized and since inception unless otherwise noted, and are net of fees and expenses. Statistics are calculated using monthly returns. Partial year returns are unaudited. Index statistics use total return indices. The composition of a funds’ portfolio could differ significantly from an index due to the investment strategy employed, and includes differences such as use of credit strategies, use of equal weight positions, use of short positions, varying fund net exposure, varying currency exposure, and investing in small capitalization stocks.
The compounded rate of return in “Growth of $10,000 Investment” chart is used only to illustrate the effects of the compound growth rate and is not intended to reflect future values of the investment fund or returns on investment in the investment fund.
The EHP Global Multi-Strategy Alternative Fund (formerly the EHP Global Multi-Strategy Fund) (the “Fund”) was not a reporting issuer during the period of December 28, 2020, to December 31, 2021 (the “Relief Period”). EHP Funds Inc., the manager of the Fund, obtained exemptive relief on behalf of the Fund to permit the disclosure of performance data of the units of the Fund relating to this Relief Period prior to which the Fund was not a reporting issuer. On January 1, 2022 the Fund became a reporting issuer. While the manager reduced, as of January 1, 2022, both the management fee rate (from 2% to 1.9% for Class A and Class UA units and from 1% to 0.9% for Class F and Class UF units) and the performance fee rate (from 20% to 15% for Class A, UA, F and UF units) for the applicable class of units of the Fund, the other operating expenses of the Fund would have been higher during the Relief Period the Fund was not a reporting issuer due to the additional regulatory requirements applicable to a reporting issuer.

Governing Law and Jurisdiction – These Terms and the rights of the parties hereto are governed by, and will at all times be construed in accordance with, the laws in force in the Province of Ontario and the laws of Canada applicable therein, without reference to its conflict of laws principles. You hereby irrevocably consent to the jurisdiction of the courts of the Province of Ontario in connection with any matter arising out of or in connection with these Terms.
Assignment and Inurement – We may at any time assign our rights and obligations under these Terms, in whole or in part, without notice to you. You may not assign these Terms without our prior, written consent. These Terms will inure to the benefit of and bind you and us and our respective personal and legal representatives, successors and permitted assigns.
Survival – All provisions that, by their meaning or nature, are intended to survive termination or expiry of these Terms shall survive termination or expiration of these Terms.
Relationship – You agree that no joint venture, partnership, employment or agency relationship exists between us and you as a result of these Terms or your use of the Service.
Entire Agreement – These Terms, as amended from time to time, including any and all documents, websites, emails, rules, terms and policies referenced herein, constitutes the entire agreement between us and you with respect to the matters referred to in these Terms and supersedes all prior and contemporaneous agreements and understandings, whether electronic, oral or written, between us and you with respect to such matters.

Proxy Voting Policies, Procedures and Guidelines
EHP Funds Inc. (“EHP Funds”) will vote proxies, subject to the following conditions:
(a) EHP Funds will vote proxies in the best interests of the applicable fund.
(b) EHP Funds has engaged a third party to help advise on proxy voting matters and record keeping.
(c) Where a conflict of interest arises between EHP Funds’ interests and those of a fund, the fund's interest will prevail. EHP Funds will document any instance where a conflict of interest could be construed.
(d) EHP Funds will attempt to vote all proxies. However, there may be circumstances where voting may be impractical. These situations include, but are not limited to: insufficient information available, proxy documents not being delivered by the custodian in a timely fashion, lack of English proxy materials, cost of voting outweighs potential benefit to a fund, and lack of materiality.
(e) Accordingly, EHP Funds generally votes proxies in a uniform manner for its funds and in accordance with these Policies and Procedures and the Guidelines.
